1. About These Terms

These Terms and Conditions govern your access to and use of the Hills Fasteners website, and any quotation, order, sale or supply of products or services by Hills Fasteners (“we”, “us” or “our”). By using the website, creating an account, requesting a quotation or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use the website or place an order.

2. Eligibility and Accounts

  • You must be at least 18 years old and legally capable of entering into a contract to place an order.
  • You must provide accurate, current and complete information when creating an account or placing an order.
  • You are responsible for keeping your login details confidential and for activity conducted through your account.
  • You must notify us promptly if you suspect unauthorised access to your account.

3. Product Information and Availability

We take reasonable care to ensure product descriptions, specifications, images, dimensions and availability are accurate. Images may be illustrative, and colours or packaging may vary. Product availability is not guaranteed. We may correct errors, change product information, substitute equivalent packaging, or withdraw a product before accepting an order.

4. Quotations and Orders

  • A quotation is an invitation to place an order and is valid for the period stated in the quotation. If no period is stated, it is valid for 30 days, subject to stock availability and pricing changes.
  • Your order is an offer to purchase. A contract is formed only when we issue written acceptance, an order confirmation or dispatch the products.
  • We may reject or cancel an order before acceptance, including because of stock shortages, pricing errors, suspected fraud, account issues or delivery limitations.
  • Custom-made, specially sourced, cut-to-length or otherwise non-standard products may be subject to additional terms and may not be cancellable or returnable unless required by law.

5. Prices, GST and Charges

  • Unless stated otherwise, prices are in Australian dollars.
  • Prices are inclusive of GST. Any applicable GST will be shown at checkout, on the quotation or on the tax invoice.
  • Delivery, handling, fuel, dangerous-goods, oversized-item and other applicable charges may be added and will be disclosed before order acceptance or on the relevant quotation.
  • We may change prices at any time before accepting an order. If a pricing or calculation error is identified after an order is placed, we may correct the price and ask you to confirm the order or cancel it and refund any amount paid.

6. Payment

  • Payment must be made using an accepted payment method and in accordance with the payment terms shown at checkout, on your invoice or in an approved credit agreement.
  • You authorise us and our payment providers to process the amount payable. We do not store complete payment-card details unless expressly stated.
  • Credit-account customers must pay by the due date. To the extent permitted by law, we may suspend supply, withdraw credit, charge reasonable recovery costs and charge interest on overdue amounts at the rate stated in the credit agreement or invoice.
  • Title to products does not pass to you until we receive cleared payment in full for those products and all related charges. Risk passes as stated in section 7.

7. Delivery, Collection and Risk

  • Delivery and collection dates are estimates unless we expressly agree otherwise in writing. Delays may occur due to stock, carriers, weather, industrial action or events outside our reasonable control.
  • You must provide a safe, accurate and accessible delivery location and any relevant site instructions. Additional costs caused by incorrect information, failed delivery, waiting time or redelivery may be charged to you.
  • If you authorise unattended delivery, the products may be left at the nominated location within reason at your risk.
  • Risk in the products passes to you on delivery, collection by you or your carrier, or when the products are left at an authorised delivery location.
  • You should inspect products promptly and notify us within a reasonable time of missing, damaged or incorrect items, together with supporting information. This does not limit rights under the Australian Consumer Law.

8. Cancellations, Returns and Refunds

  • Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
  • For faulty, unsafe, damaged, incorrectly described or incorrectly supplied products, contact us with proof of purchase and details of the issue. Available remedies will depend on the circumstances and applicable law.
  • Change-of-mind returns are accepted only in accordance with our published Returns Policy or written approval. Unless required by law, specially ordered, custom-made, cut, opened, used, installed, clearance or non-resalable products may not be returnable.
  • Approved returns must be securely packaged and accompanied by the required return authorisation and proof of purchase. Reasonable restocking, freight or handling charges may apply where permitted by law and disclosed to you.
  • Refunds will ordinarily be made to the original payment method after the returned product has been received and assessed.

9. Warranties and Safe Use

Products may be covered by manufacturer warranties in addition to rights under the Australian Consumer Law. You must follow all product instructions, warnings, ratings, installation requirements and applicable Australian standards. Electrical, structural, safety-critical or regulated products must be selected and installed by appropriately qualified persons where required. We are not responsible for loss caused by misuse, unauthorised modification, improper storage, incorrect selection or installation, or failure to follow instructions, except to the extent liability cannot lawfully be excluded.

10. Australian Consumer Law and Liability

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law where that law applies. Nothing in these Terms excludes, restricts or modifies those guarantees or any other rights or remedies that cannot lawfully be excluded.

To the maximum extent permitted by law, and subject to any non-excludable rights, we are not liable for indirect, incidental, special or consequential loss, loss of profit, revenue, business, opportunity, goodwill or data arising from the website or the supply or use of products. Where a guarantee applies to goods or services not ordinarily acquired for personal, domestic or household use, our liability may, where permitted by law, be limited to replacement, repair, resupply or the cost of those remedies. Each party remains responsible for loss to the extent caused by its own acts or omissions.

11. Website Use

  • You must not misuse the website, interfere with its operation, introduce malicious code, attempt unauthorised access, scrape content without permission, or use it for unlawful, fraudulent or misleading activity.
  • We may suspend, restrict or terminate access where reasonably necessary to protect the website, our users or our business.
  • We do not guarantee uninterrupted or error-free access. We may change or discontinue website features without notice.
  • Links to third-party websites are provided for convenience. We do not control or endorse third-party content, terms, security or privacy practices.

12. Intellectual Property

The website and its text, graphics, logos, photographs, product data, layout, software and other content are owned by or licensed to us and are protected by intellectual-property laws. You may view, download or print content for your personal or internal business purchasing purposes only. You must not reproduce, modify, distribute, commercialise or create derivative works from website content without prior written permission, except as permitted by law.

13. Privacy and Communications

We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws. By using the website or placing an order, you consent to receiving transaction-related communications electronically. Marketing communications will be sent only in accordance with applicable law, and you may unsubscribe using the method provided.

14. Events Outside Our Control

We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, industrial action, transport disruption, carrier failure, cyber incident, utility outage, government action or supply-chain interruption. We will take reasonable steps to minimise the effect and resume performance when practicable.

15. Changes to These Terms

We may update these Terms from time to time by publishing the revised version on the website. The updated Terms apply to website use from the stated effective date. The Terms applying to an accepted order are generally those in effect when the order was accepted, unless a change is required by law or agreed with you.

16. General

  • You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours as part of a business transfer or restructure, subject to applicable law.
  • A failure or delay in enforcing a right is not a waiver of that right.
  • If any provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions continue.
  • These Terms, together with any accepted quotation, order confirmation, credit agreement, Returns Policy and Privacy Policy, form the entire agreement concerning the relevant transaction. If documents conflict, any specifically agreed written terms prevail over these website Terms for that transaction.
  • Provisions intended by their nature to continue after termination, including payment, intellectual property and liability provisions, survive termination.

17. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Subject to any rights you have to bring a claim elsewhere under applicable law, the parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
